Purpose
This policy ensures decisions are made in the best interest of the organization, free from personal, financial, or professional conflicts.
1Definition
A conflict of interest arises when a Board member, officer, or key staff member has a personal or financial interest that could influence their decision making.
2Disclosure
All Board members and senior staff must:
- Disclose potential conflicts annually
- Disclose any conflict before deliberation on related matters
3Procedure
When a conflict exists:
- The individual must abstain from discussion and voting
- The remaining Board members will determine appropriate action
- The decision and recusal will be documented in meeting minutes
4Enforcement
Failure to disclose a conflict may result in disciplinary action, including removal from the Board.
